Terms of Service
The agreement between you and Seoteric for the use of Seoteric. Please read it before you create an account.

1. These terms
These terms form a binding agreement between you and Seoteric (ABN 34 889 338 495), a sole trader based in New South Wales, Australia (“Seoteric”, “we”, “us” or “our”). By creating an account or using the service, you accept them. If you are agreeing on behalf of a company, you confirm you have authority to bind it, and “you” means that company.
Our Privacy Policy forms part of these terms.
2. The service
Seoteric is a subscription platform that analyses websites you nominate and uses AI to produce SEO audits, rankings data and recommendations. We may add, change or remove features over time. If we remove a material feature from your paid plan, you may cancel and receive a pro-rata refund of the unused portion of your current billing period.
3. Your account
You must be at least 16 years old and provide accurate details. You are responsible for keeping your password secure and for everything done under your account. Tell us promptly at support@seoteric.app if you suspect unauthorised access.
4. Sites you add
This one matters. By adding a domain to Seoteric, you represent that you own it, operate it, or are otherwise authorised by its owner to have it analysed. Seoteric will fetch that site’s public pages and query third-party data sources about it.
You must not use Seoteric to interfere with a site you have no right to analyse, to circumvent a site’s access controls or terms, or to place an unreasonable load on any third party’s infrastructure. You indemnify us for claims arising from domains you added without authority.
5. Plans, fees and billing
- Current plans and prices are shown on our pricing page. Prices are stated in the currency shown at checkout and include GST where applicable.
- Paid plans renew automatically each billing period until cancelled. You authorise us, through our payment provider, to charge your payment method on each renewal.
- Payments are handled by Polar as merchant of record. Polar’s terms apply to the payment transaction itself, and your invoice may be issued by Polar.
- You can cancel at any time from your account settings. Cancellation takes effect at the end of the current billing period, and you keep access until then.
- Introductory or promotional pricing applies for the stated period only, after which the standard price applies.
- We may change prices with at least 30 days’ notice. The change applies from your next billing period, and you may cancel before it takes effect.
Outside your rights under the Australian Consumer Law (see section 10), fees already paid are non-refundable and we do not refund partly used billing periods.
6. Usage limits
Each plan includes a number of sites, AI messages and reports per billing cycle. We may pause AI features for the remainder of a cycle once you reach your limit, or invite you to upgrade. We may also apply reasonable rate limits to protect the service.
7. Acceptable use
You must not:
- Break any law, infringe anyone’s intellectual property, or breach anyone’s privacy.
- Attempt to gain unauthorised access to the service, probe it for vulnerabilities without our written permission, or interfere with its operation.
- Resell, sublicense or white-label the service except as expressly permitted by your plan.
- Use the service to generate spam, deceptive content, or content that is unlawful, defamatory or harmful.
- Use automated means to extract data from the service beyond any API we provide, or share your account credentials with others.
8. AI output and no guarantee of results
Seoteric’s recommendations are generated by AI models working from data of varying quality. Output may be incomplete, out of date or simply wrong. It is information, not professional advice, and you should exercise your own judgement before acting on it — particularly before making changes to a live website.
Search rankings are controlled by search engines, not by us. We do not promise any particular ranking, traffic level or commercial outcome, and nothing in the product should be read as such a promise.
9. Your content and our IP
You keep ownership of everything you put into Seoteric — your site details, chat messages, notes and any content you upload. You grant us a non-exclusive licence to host, process and transmit that content for the sole purpose of operating and supporting the service for you. That licence ends when you delete the content or close your account.
We keep ownership of Seoteric itself: the software, interface, branding and documentation. These terms do not transfer any of it to you. You may use the reports and recommendations the service produces for you, including for your clients, without restriction.
10. Australian Consumer Law
Our services come with guarantees that cannot be excluded under the Australian Consumer Law (Schedule 2 to the Competition and Consumer Act 2010 (Cth)). Nothing in these terms excludes, restricts or modifies those guarantees or any other right you have that cannot lawfully be excluded.
For major failures with the service, you are entitled to cancel your service contract with us and to a refund for the unused portion, or to compensation for its reduced value. You are also entitled to be compensated for any other reasonably foreseeable loss or damage. If the failure does not amount to a major failure, you are entitled to have problems with the service rectified in a reasonable time and, if this is not done, to cancel your contract and obtain a refund for the unused portion.
11. Limitation of liability
Subject always to section 10, and to the extent permitted by law:
- The service is provided on an “as is” basis, and we exclude all warranties not expressly stated in these terms.
- We are not liable for indirect or consequential loss, loss of profits, loss of revenue, loss of goodwill, or loss of or damage to data.
- Our total liability to you in any 12-month period is limited to the fees you paid us in that period, and where our liability arises under a consumer guarantee we may limit it to resupplying the service or paying the cost of having it resupplied.
12. Third-party services
Seoteric integrates with third-party services such as Webflow and relies on third-party data sources. Those services are governed by their own terms, we do not control them, and we are not responsible for their availability or accuracy. Disconnecting an integration stops us accessing it, but does not delete data already retrieved.
13. Availability and support
We aim to keep Seoteric available at all times, but we do not guarantee uninterrupted access. We may take the service down for maintenance, and will give advance notice of planned downtime where practical. Support is provided by email at support@seoteric.app during Australian business hours.
14. Suspension and termination
You may close your account at any time. We may suspend or terminate your account if you materially breach these terms, if your payment fails and is not remedied, or if we are required to by law. Where the breach can be fixed, we will give you notice and a reasonable chance to fix it first.
On termination your right to use the service ends. We will retain or delete your data as described in our Privacy Policy. Sections 9, 10, 11 and 16 survive termination.
15. Changes to these terms
We may update these terms. For material changes we will give you at least 30 days’ notice by email or in the product. Continuing to use Seoteric after the change takes effect means you accept the updated terms; if you do not accept them, you may cancel before they take effect.
16. Governing law
These terms are governed by the laws of New South Wales, Australia. You and we submit to the non-exclusive jurisdiction of the courts of New South Wales and the courts able to hear appeals from them.
Before starting proceedings, each of us agrees to try in good faith to resolve the dispute by discussing it — write to us at support@seoteric.app. This does not stop either of us seeking urgent injunctive relief.
17. General
If any provision of these terms is found to be unenforceable, it is severed and the rest continues to apply. Our failure to enforce a right is not a waiver of it. You may not transfer your rights under these terms without our consent; we may transfer ours to a related entity or a buyer of our business. These terms are the entire agreement between us about the service.
